Terms of Service

Last updated: 11 October 2026

These Terms govern access to and use of Lading, the software platform for courier and freight-forwarding companies offered at lading.app and its subdomains (the "Service"). By creating an account or using the Service you agree to these Terms on behalf of the business you represent.

1. Who provides the Service

The Service is provided by Richard A., self-employed professional (autónomo), Tax ID (NIF) Z3567916T, Calle Beatriz Galindo 6, San Sebastian de los Reyes, 28702. Madird ("Lading", "we", "us"). Contact: [email protected].

2. Business use only

The Service is for businesses and professionals. You confirm that you are using it for your trade or business and not as a consumer, and that you are authorised to accept these Terms for the company you register ("Customer", "you").

3. Your account

You are responsible for the accuracy of your account information, for keeping credentials secure, and for everything done by users you invite. Tell us at once at [email protected] if you suspect unauthorised access.

4. Free trial

New accounts get a 30-day free trial with no payment card required. At the end of the trial, choose a paid plan to keep using the Service. If you do not, the account is suspended; your data is kept for 30 days so you can subscribe or request an export, and is then deleted.

5. Plans, fees and payment

  • Plans, features and prices are those shown on the pricing page when you subscribe. Prices are in US dollars and exclude taxes; VAT or similar taxes are added where the law requires it.
  • Orders are processed by our online reseller, Lemon Squeezy, which is the merchant of record: it runs the checkout, charges the price and any applicable taxes, and issues the invoice. Its buyer terms also apply to the purchase.
  • Plans are billed in advance, monthly or annually, and renew automatically for the same period until cancelled.
  • Plan changes take effect immediately and are prorated: an upgrade charges the difference for the rest of the current period straight away, and a downgrade credits it against your next invoice. Your data is not affected by a plan change.
  • If a payment fails, you will be notified and the payment is retried over the following 14 days, during which you keep full access. If it has still not gone through, we may suspend the Service until it does.
  • We may change prices with at least 30 days' notice by email; the change applies from your next renewal after that notice.
  • Data migration from other systems is not included in any plan and is quoted separately.

6. Lading AI credits

  • AI features are paid from a prepaid balance. The Scale plan includes US$20 of AI credit each month; included credit does not carry over to the next month.
  • AI usage is charged per completed action (for example, "document captured"), at the rates shown in the platform.
  • You can set daily, weekly or monthly spending ceilings. When the balance reaches zero or a ceiling is reached, AI features pause; the rest of the Service keeps working.
  • Purchased credit does not expire while your account is open. It is non-refundable, and any unused balance is lost when the account is closed.
  • If you connect your own AI vendor key by arrangement with us, usage is billed by that vendor to you under your own contract.

7. Third-party services you connect

You may connect your own accounts with third parties such as Stripe, PayPal, Twilio, WhatsApp Business or an AI vendor. Those services are governed by your agreement with the provider, and you pay their fees directly. We are not responsible for their availability, pricing or acts, and we pass data to them only on your instructions.

8. Your data

  • You own your data. Everything you and your users enter into the Service, including data about your clients and shipments ("Customer Data"), remains yours.
  • You grant us a limited licence to host, copy, transmit and process Customer Data only as needed to provide, secure and support the Service.
  • We never use Customer Data to train shared AI models.
  • Export: at any time while your account is active, and for 30 days after it ends, you can ask us to export your Customer Data in a commonly used format.
  • Deletion: after that 30-day period we delete Customer Data from the live system; backups are purged on their normal rotation.

9. Data processing (GDPR article 28)

For personal data contained in Customer Data, you are the controller and we are your processor. We will:

  1. process it only on your documented instructions, which are these Terms and your use of the Service's settings;
  2. ensure that anyone authorised to process it is bound by confidentiality;
  3. apply appropriate technical and organisational security measures, described in our Privacy Policy;
  4. use only the sub-processors listed in our Privacy Policy, notifying you of changes in advance so you can object; you authorise their use generally;
  5. help you respond to requests from data subjects and meet your security, breach-notification and impact-assessment obligations, as far as the nature of the processing allows;
  6. notify you without undue delay after becoming aware of a personal data breach affecting Customer Data;
  7. delete or return Customer Data when the Service ends, as described in section 8;
  8. make available the information needed to demonstrate compliance and allow reasonable audits, at your cost and with reasonable notice.

Where data is transferred outside the European Economic Area, the safeguards described in the Privacy Policy apply. A separate data processing agreement is available on request.

10. Acceptable use

You must not use the Service to:

  • break any law, including customs, export-control, sanctions and anti-money-laundering rules, or to facilitate the shipment of prohibited or illegal goods;
  • send unsolicited or unlawful messages through the SMS, email or WhatsApp features;
  • store content you have no right to use, or that is unlawful, defamatory or infringes others' rights;
  • probe, overload or attack the Service, circumvent usage limits or access other customers' data;
  • copy, resell or reverse-engineer the Service, or use it to build a competing product.

11. Your responsibilities as a logistics operator

The Service is a tool. You remain solely responsible for the accuracy of shipping documents, customs declarations, tariff (HS) classifications, valuations, air waybills, bills of lading and invoices you issue, and for compliance with the rules of every jurisdiction you operate in. Suggestions from Lading AI — including suggested HS codes or consolidation advice — are aids for a qualified person to review, not professional customs or legal advice.

12. White-label and custom domains

You are responsible for having the rights to the logos, names, colours and domains you configure, and for the content shown to your clients under your brand.

13. Availability and changes to the Service

We work to keep the Service available and secure but do not guarantee uninterrupted operation, and no service-level commitment applies unless agreed in writing. We may carry out maintenance, preferably outside business hours, and improve or change features. We will give reasonable notice before removing a material feature you pay for.

14. Suspension

We may suspend access, where reasonably possible after notice, if payment is overdue, if you breach section 10, or if your use threatens the security or stability of the Service or other customers. We will restore access once the cause is resolved.

15. Cancellation and termination

  • You can cancel at any time from your account or by writing to [email protected]. Cancellation takes effect at the end of the current billing period, and you keep access until then.
  • Fees already paid are non-refundable, including the unused part of an annual plan, except for the downgrade credit described in section 5 or where the law requires otherwise.
  • We may terminate these Terms on 30 days' notice, or immediately for a material breach that is not remedied within 15 days of notice. If we terminate without cause, we will refund any prepaid fees for the unused period.

16. Intellectual property

The Service, its software, design and documentation belong to Lading or its licensors. Subject to these Terms and payment of fees, we grant you a non-exclusive, non-transferable right to use the Service for your internal business during your subscription. If you send us suggestions, we may use them freely without obligation to you.

17. Confidentiality

Each party will keep the other's non-public business information confidential and use it only to perform these Terms, except for information that is already public, independently developed, or must be disclosed by law.

18. Warranties

The Service is provided "as is" and "as available". To the extent permitted by law, we exclude all implied warranties, including fitness for a particular purpose. We do not warrant that the Service will be error-free or that AI output will be accurate.

19. Limitation of liability

To the extent permitted by law:

  • neither party is liable for indirect or consequential losses, lost profits, lost revenue, or loss of goodwill;
  • our total liability under these Terms in any 12-month period is limited to the fees you paid us in the 12 months before the event giving rise to the claim.

These limits do not apply to liability for wilful misconduct (dolo) or gross negligence, or to any other liability that cannot be limited by law.

20. Indemnity

You will defend and compensate us against third-party claims arising from Customer Data, from goods you handle or ship, or from your breach of sections 10 or 11.

21. Changes to these Terms

We may update these Terms. We will notify account holders by email at least 30 days before material changes take effect. If you do not agree, you can cancel before the effective date; continued use after that date means you accept the new Terms.

22. Governing law and jurisdiction

These Terms are governed by Spanish law. The parties submit to the courts of Madrid, Spain, unless mandatory law provides otherwise.

23. General

If any provision is found invalid, the rest remains in force. Failure to enforce a right is not a waiver. You may not assign these Terms without our consent; we may assign them to an entity that takes over the Service, with notice to you. These Terms, together with the Privacy Policy, are the entire agreement on their subject. If these Terms are translated, the English version prevails.
